Terms of Service
In plain English
These terms govern buying and receiving vozume services. The short version: services are prepaid; you own the deliverables; the meeting guarantee on 90-day sprints means we keep working at no extra cost until the minimum is met, not that we refund you; we do not guarantee revenue; our liability is capped at what you paid; and New York law applies.

Agreement
These Terms of Service form a binding agreement between you and vozume, a Marive Group company at 418 Broadway Ste R, Albany, NY 12207, United States. They apply when you buy a service, use vozume.com, or accept a proposal from us. If you do not accept them, do not purchase.
Where you and vozume have signed a separate written agreement, that agreement prevails over these terms to the extent of any conflict.
Who may buy
- vozume sells to businesses only. Services are not offered to consumers for personal, family or household purposes.
- You must be at least 18 and authorised to enter into contracts for the organisation you represent.
- You must not be barred from receiving services under US law, including applicable sanctions and export controls.
The services
vozume provides B2B lead generation and outbound services, described on the relevant service page at the time of purchase. These currently comprise one-time builds — lead list building, ICP and offer research, cold email infrastructure setup, LinkedIn outreach campaign build, CRM pipeline setup and creative lead generation campaigns — and managed 90-day sprints, including the account-based marketing sprint.
The service page in force when you buy, together with these terms, defines the scope. Anything not stated there is out of scope until agreed in writing.
Orders, prices and payment
- All prices are in US dollars and exclusive of any taxes that may apply to you.
- Services are prepaid in full at checkout unless we agree otherwise in writing.
- We may change published prices at any time; the price in force when you buy is the price that applies to that order.
- Delivery timescales published on a service page are counted in business days from receipt of your completed kickoff form, not from payment.
- Third-party costs are yours: sending domains and mailbox subscriptions, LinkedIn Sales Navigator, your CRM licence, and any hard costs for creative campaigns such as gifts or postage. We quote hard costs at cost and never mark them up.
The meeting guarantee
Managed 90-day sprints carry a guaranteed minimum number of meetings: 12 on Leads, 30 on Leverage and 60 on Leap. If your minimum is not in your calendar by day 90, vozume continues to run the campaign at no additional service fee until the minimum is met.
What counts
A meeting counts when it is held with a prospect who satisfies the four qualification criteria agreed with you at kickoff — typically company fit, seniority, a stated problem and the absence of a disqualifier. A prospect who fails to attend is rebooked or replaced rather than counted.
What the guarantee is not
- It is a commitment of continued service, not a refund. See the Refund Policy.
- It applies to managed sprints only. One-time builds carry delivery commitments instead, because you operate the sending on those.
- It is not a guarantee of revenue, closed deals or pipeline value.
When it does not apply
The guarantee is suspended, and the 90 days paused, where the delay is on your side: a kickoff form outstanding for more than ten business days, approvals not given, access to a required tool withheld, an offer or target market changed mid-sprint, or a request to pause sending. We will tell you in writing when we consider it suspended.
What you agree to do
- Return the kickoff form and give approvals within a reasonable time.
- Give accurate information about your business, offer and target market.
- Provide the access we need — domains, mailboxes, LinkedIn profile or CRM — and keep your own credentials secure.
- Hold the rights necessary for any material you give us to use.
- Take responsibility for how you use deliverables after handover.
Deliverables and intellectual property
On payment in full, you own the deliverables produced specifically for you: lead lists, sequence copy, research reports, campaign assets, sending domains and mailboxes registered for you, and your CRM configuration. There is no lock-in and nothing stops working if you stop buying from us.
vozume retains ownership of its own methods, frameworks, templates, internal tooling and know-how, including anything of general application developed while working for you. Nothing in this agreement transfers vozume.com content or the vozume brand to you.
vozume may describe the work in anonymised form. We will not name you, quote you or publish your results without your written approval, and you may decline without it affecting the service.
Third-party platforms
Services depend on platforms we do not control, including LinkedIn, email service providers, domain registrars, data vendors and CRM software. You are responsible for complying with the terms of any account held in your name.
vozume works within published platform limits — for example ramped LinkedIn connection volumes — but cannot guarantee the behaviour of a third party. We are not liable for a platform suspending an account, changing its rules or limits, altering pricing, or discontinuing a feature.
Acceptable use and compliance
Outbound email sent through our infrastructure must comply with the CAN-SPAM Act: accurate sender identification, a non-deceptive subject line, a valid postal address, and a working opt-out honoured promptly. vozume builds all four into the sequences it writes.
You warrant that your offer is lawful, that your claims are substantiated, and that you will honour opt-outs and suppression requests we pass to you. If your campaign targets recipients in the EU, the UK or another jurisdiction with stricter rules, you must tell us at kickoff so the approach can be adjusted.
vozume will not run campaigns that are deceptive, that promote unlawful goods or services, that target individuals rather than businesses, or that we reasonably believe would harm recipients. We may decline or stop such work without refund of work already performed.
Confidentiality
Each party will keep the other’s non-public business information confidential, use it only to perform or receive the services, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known, is independently developed, or must be disclosed by law.
Disclaimers
vozume delivers the services with reasonable skill and care. Beyond that, and to the fullest extent permitted by law, the services are provided “as is” and vozume disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
Outbound results depend on your market, offer, pricing and sales follow-up. Except for the meeting guarantee stated above, vozume does not warrant any reply rate, conversion rate, pipeline value, revenue or return on investment. Nothing on vozume.com is a promise of financial outcome.
Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or lost business opportunity, even if advised such damages were possible.
vozume’s total aggregate liability arising out of or relating to the services is limited to the amount you paid vozume for the specific service giving rise to the claim in the twelve months before the claim arose.
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by negligence.
Indemnity
You will indemnify vozume against claims, losses and reasonable legal costs arising from your breach of these terms, from the content of an offer or material you supplied or approved, or from your use of deliverables after handover.
Term, suspension and termination
- One-time builds end on delivery of the deliverable.
- Sprints run for the stated 90 days, plus any extension owed under the meeting guarantee. They do not auto-renew.
- Either party may terminate for material breach that is not cured within 15 days of written notice.
- vozume may suspend a campaign immediately where continuing would breach law or platform rules, or would damage deliverability.
- Sections on intellectual property, confidentiality, disclaimers, liability, indemnity and governing law survive termination.
Governing law and disputes
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The parties will first try in good faith to resolve any dispute by discussion, starting with written notice describing the issue. If that fails within 30 days, the state and federal courts located in Albany County, New York have exclusive jurisdiction, and both parties consent to that venue.
Each party waives any right to a jury trial. Claims must be brought individually and not as a class action. Any claim must be brought within one year of the events giving rise to it.
General
- Force majeure: neither party is liable for delay caused by events beyond reasonable control.
- Assignment: you may not assign this agreement without our written consent; vozume may assign it to an affiliate or acquirer.
- Severability: if a provision is unenforceable, the rest stands.
- No waiver: not enforcing a right once does not waive it.
- Independent contractors: nothing here creates a partnership, joint venture or employment relationship.
- Entire agreement: these terms, the applicable service page and any signed agreement are the whole agreement between us.
- Changes: we may update these terms; the version in force when you buy governs that order.
